The online application is made available to Users by Instant Factoring IFN SA, with its registered office in Bucharest, Sector 2, 2 Gara Herăstrău Street, 2nd floor, office 212, Romania, registered with the Romanian Trade Register under no. J2018003635406, C.U.I. RO39029401, EUID ROONRC. J2018003635406 (“the Company”), and can be accessed through the website https://instantfactoring.com.
The online application lets Users access the invoice factoring services offered by Instant Factoring IFN SA online, 24 hours a day, 7 days a week, from anywhere in the world. The application also lets Users:
To access invoice factoring services, you need to create an account in the online application. After you register in the online application, you must complete the identity verification process. Completing this process is a condition for accessing the services offered and, once it is complete, you can upload at any time the invoices for which you request the invoice sale service. A representative of Instant Factoring IFN SA will review the information entered in order to accept or reject the request. If the request is accepted, the parties will negotiate in order to enter into a contract for the related services. The portfolio of accepted or rejected invoices can be checked at any time through the online application.
To use the Application, you must be a Romanian legal entity acting through your legal representative or an authorized agent, and you request invoice factoring services from Instant Factoring IFN SA through a user account.
You access your user account with a username and password.
The online application is available free of charge after you register by completing the registration form.
Your account will be created by following the steps below:
Instant Factoring IFN SA reserves the right to suspend or deactivate your user accounts (a) if you breach these terms, (b) if applicable law or the competent authorities or courts require or impose this on us, or (c) if we decide to withdraw or discontinue the online application from the market. Instant Factoring IFN SA will not be liable for any consequences of such a decision.
You declare and warrant that none of the information and documents provided in the online application contain false or inaccurate data, or omissions regarding essential matters that must be disclosed.
Instant Factoring IFN SA reserves the right, but not the obligation, to verify the authenticity of your registration details and verify your existence. By accepting the terms and conditions (“Terms and Conditions” or “Terms of Use”), you agree to any checks that Instant Factoring IFN SA may carry out regarding the truthfulness and accuracy of the data provided.
If it is found that the information made available by you is inaccurate or does not match the information provided by the competent authorities, Instant Factoring IFN SA reserves the right to suspend or terminate your access to the services of the online application and to refuse current or future attempts to access the services offered through the online application.
To access the services offered through the online application, you, acting through your legal representative or authorized agent, are required to complete the identity verification process. You declare and warrant that the person completing the identification process is validly acting as your legal representative or authorized agent and has the right to bind you in your relationship with the Company.
For this purpose, the Company uses the services of Onfido GmbH as a specialized provider of remote identification solutions, a process that involves identity verification by video through a secure flow made available by this provider. Identification is carried out in compliance with the applicable legal requirements, including those related to the prevention and combating of money laundering and terrorist financing.
By accepting these Terms and Conditions, you confirm that you have been informed about the use of such a remote identification process and agree to complete it under the conditions communicated through the online application.
Successfully completing the identity verification process is a necessary condition for accessing the services offered by the Company. If you refuse to complete the identification process or if it cannot be completed successfully, the Company reserves the right to refuse to provide services and/or suspend access to the Application, without being held liable for any consequences.
The Company reserves the right to interrupt or not complete the identification process and to refuse to provide services if there are reasonable suspicions regarding the person’s identity, the authenticity of the documents provided, or the legality of the requested transaction.
The Company reserves the right to carry out additional checks whenever it considers this necessary, including after the initial identification process has been completed, in order to comply with the applicable legal obligations, including those related to the prevention and combating of money laundering and terrorist financing.
You understand and agree that the identification process may be recorded and/or documented by technical means, and that these records may be used as evidence to demonstrate compliance with legal identification obligations.
The application ensures the confidentiality of the data and information transmitted, as well as any personal data that may be requested from Users upon registration. This data is used for purposes related to the provision of services, as well as to comply with applicable legal obligations, in accordance with the Instant Factoring IFN SA Personal Data Processing Policy available here https://instantfactoring.com , acceptance of which is mandatory in order to access our services.
The provisions of the Data Processing Policy form an integral part of these T&C. All terms in both documents shall be interpreted in light of one another.
The application uses security methods and technologies to protect the personal data collected in accordance with the applicable legal provisions in force and makes all commercially reasonable efforts to protect the personal data collected.
The application respects the confidential information provided and will not sell, rent, or exchange its mailing lists or customer data.
Instant Factoring IFN SA reserves the right to modify or discontinue, temporarily or permanently, the online application, in whole or in part. In this case, Instant Factoring IFN SA is not liable to you or to any third party for any modification, suspension, or interruption of the services available through the online application.
You expressly agree that Instant Factoring IFN SA will not be liable for any direct, indirect, incidental, or special damages or losses, including, but not limited to, damages consisting of loss of profit, inability of use, data, or other intangible or immeasurable losses, resulting from:
